1. Agreement to Terms

By accessing or using the AgentAI Platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and AgentAI, Inc. (“Company,” “we,” “us,” or “our”).

If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

AgentAI provides an artificial intelligence agent platform that enables users to create, deploy, configure, and manage autonomous AI agents for task automation, workflow orchestration, and intelligent process handling (the “Service”). The Service includes:

  • AI Agent Builder — tools to design, train, and deploy custom AI agents
  • Agent Marketplace — a catalog of pre-built agents and integrations
  • API & Developer Tools — programmatic access to agent capabilities
  • Analytics Dashboard — monitoring and performance tracking for deployed agents
  • Enterprise Collaboration — team management and shared agent workspaces

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you meet all eligibility requirements. We may refuse service or terminate accounts of anyone who does not meet these requirements.

3.2 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage resulting from your failure to comply with this obligation.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • To violate any applicable local, national, or international law or regulation
  • To transmit, deploy, or distribute malware, viruses, or any other malicious code
  • To engage in any automated scraping, crawling, or harvesting of data without express written permission
  • To impersonate or attempt to impersonate any person, company, or entity
  • To develop AI agents designed to deceive, manipulate, or harm end users
  • To create agents that generate spam, phishing content, or fraudulent communications
  • To circumvent, disable, or otherwise interfere with security features of the Service
  • To use the Service to build weapons, surveillance tools, or systems that violate human rights
  • To sublicense, sell, resell, or otherwise commercially exploit the Service without authorization

We reserve the right to terminate your access to the Service for violations of this Acceptable Use Policy.

5. AI Agent Usage and Responsibilities

5.1 User Responsibility for Agents

You are solely responsible for the AI agents you create, deploy, and operate using the Service. This includes ensuring that your agents operate lawfully, ethically, and in compliance with these Terms and all applicable laws. You acknowledge that AI agents may produce unexpected or unintended outputs, and you agree to implement appropriate oversight mechanisms.

5.2 Human Oversight

For agents operating in high-stakes domains including healthcare, legal, financial, or safety-critical systems, you agree to maintain appropriate human oversight and not rely solely on agent outputs for critical decisions.

5.3 Data Processed by Agents

You are responsible for ensuring that any data processed by your agents is handled in compliance with applicable data protection laws, including obtaining all necessary consents from data subjects. You may not deploy agents that process sensitive personal data without appropriate safeguards.

5.4 Third-Party Integrations

When configuring agents to interact with third-party services, you are responsible for complying with those services’ terms of use. We are not responsible for any actions taken by agents against third-party services.

6. Intellectual Property Rights

6.1 Company IP

The Service, including all software, algorithms, interfaces, documentation, and underlying technology, is owned by AgentAI, Inc. and is protected by intellectual property laws. Nothing in these Terms transfers ownership of any Company IP to you.

6.2 Your Content and Agents

You retain ownership of any data, configurations, workflows, and content you create using the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, process, and transmit your User Content solely to provide the Service.

6.3 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy explains how we collect, use, disclose, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

8. Billing and Payments

8.1 Subscription Plans

The Service is offered under various subscription plans. By selecting a plan and providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring basis.

8.2 Usage-Based Billing

Certain features, including agent execution minutes, API calls, and data processing, may be billed on a consumption basis. You are responsible for monitoring your usage and any associated costs. We will provide usage dashboards to help you track consumption.

8.3 Refunds

Subscription fees are non-refundable except as required by applicable law. We may, at our sole discretion, issue credits or refunds in cases of demonstrable service failures attributable to us.

8.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days’ notice of any price increases before they take effect for existing subscribers.

9. Disclaimers and Limitation of Liability

9.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 AI Output Disclaimer

AI-generated outputs may be inaccurate, incomplete, or inappropriate for specific use cases. We make no warranties regarding the accuracy, reliability, or suitability of any content produced by AI agents. You are solely responsible for verifying the accuracy of agent outputs before acting upon them.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTAI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

10. Indemnification

You agree to defend, indemnify, and hold harmless AgentAI, Inc. and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

  • Your use of or inability to use the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any AI agents you deploy using the Service
  • Any content you submit, post, or transmit through the Service
  • Any third-party claims arising from your agents’ interactions with external services

11. Term and Termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time through your account settings. Termination does not entitle you to a refund of any prepaid fees. Provisions of these Terms that by their nature should survive termination shall continue to apply after termination.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. You waive any right to a jury trial or to participate in a class action lawsuit.

12.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to address emergency situations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the effective date, and, where appropriate, by sending you an email notification. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically. If you do not agree to the modified Terms, you should discontinue your use of the Service.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and AgentAI, Inc. regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
